What SalesRelay is — and is not

SalesRelay is transaction coordination software. It requests, records and relays information between the parties to a property transaction, and automates routine follow-ups.

SalesRelay is not a solicitor, licensed conveyancer, estate agent, mortgage broker or financial adviser. It does not provide legal, financial or professional advice, does not verify the truth of what participants tell it, and must not be relied on as a substitute for professional advice or for your own professional judgement.

Milestone status, risk scores, readiness percentages and estimated exchange or completion dates are indications derived from what participants have reported. They are not commitments, and they are not confirmation that any legal step has occurred. Only your conveyancer can confirm the legal position of a transaction.

Your account

• You must give accurate registration information and keep your credentials secure.
• You are responsible for activity under your account and for your users’ conduct.
• You must have the authority to enter the transaction data you upload, and a lawful basis for sharing participants’ contact details with us.
• You must tell participants that their transaction is being coordinated using SalesRelay.

Acceptable use

You may not use SalesRelay unlawfully, to harass anyone, to send unsolicited marketing, to attempt to gain unauthorised access to the platform or other organisations’ data, to reverse engineer the service, or to resell it without a written white-label agreement. Fees and payment

Transaction fees

Charged on completion of a transaction. If a transaction does not complete, no transaction fee is payable.

Subscription fees

Charged monthly in advance where your plan includes one. Non-refundable for the period already started.

Changes to pricing

We will give at least 30 days’ notice of a price change affecting an existing subscription.

Late payment

We may suspend the service if fees are more than 14 days overdue, after notifying you.

VAT

All prices are exclusive of VAT unless stated otherwise.

Your data

You retain all rights in the data you put into SalesRelay. We process it as your processor under the Data Processing Agreement.

We may use aggregated, anonymised statistics — for example median days between milestones — to improve the product and to publish industry benchmarks. Anonymised means it cannot identify you, your clients, a property or a transaction.

On termination you may export your data. We will delete or return it in line with the DPA.

Availability

We aim for high availability but do not currently offer a contractual uptime SLA. Planned maintenance will be notified where practical. Enterprise agreements can include an SLA.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, our total liability in any 12-month period is limited to the fees you paid us in that period, and we are not liable for loss of profit, loss of commission, loss of a transaction, loss of goodwill, or indirect or consequential loss.

In particular, we are not liable for a transaction failing to complete, for delay caused by a third party, or for the accuracy of information a participant provides.

Termination

You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate for material breach, unlawful use, or non-payment, giving notice and an opportunity to fix the problem where it is capable of being fixed.

General

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any provision is unenforceable, the rest continues to apply. We may update these terms and will give notice of material changes.
